Quickergroup Payment Account User Terms & Conditions

  1. These Terms and Conditions (“Terms” or “Terms and Conditions”) govern your access to and use of the Quickergroup virtual payment account, which is managed and operated by Quickergroup Ltd (“Quickergroup”) (“Quickergroup Payment Account” or “Quickergroup Wallet”), as well as its associated functions as outlined in these Terms. References to “we,” “us,” or “our” in these Terms refer to Quickergroup, a licensed payment service provider of the Service. “You” or “your” refers to the User.
    The Service is linked to your Quickergroup Account and is designed to facilitate and process payments for the purchase of goods and/or services offered on the Quickergroup Platform by Quickergroup and/or other types of transactions that may be available on the Quickergroup Platform for registered Users.
    We reserve the right to introduce new features, functions, and/or applications to the Service or to update/modify existing ones; all such new and updated/modified features, functions, and/or applications will be governed by these Terms unless specified otherwise.
    By requesting and/or using the Service, you, the User, agree to comply with these Terms and Conditions. If you do not agree with these Terms and Conditions, please refrain from using the Service.
  2. These Terms and Conditions are in addition to, and differ from, the general terms and conditions that govern your use of the Quickergroup Platform and your Quickergroup Account.
  3. These Terms and Conditions are supplemented by the Quickergroup Payment Protection Policy (“Payment Protection Policy”), which provides Quickergroup customers with assurance regarding authorized payments or transactions made using the Quickergroup Payment Account. The Payment Protection Policy also outlines compensation guidelines and eligibility criteria for losses resulting from unauthorized transactions on the Quickergroup Account, as covered by the Payment Protection Policy.

DEFINITIONS AND INTERPRETATION

Unless the context otherwise requires, the following expressions shall have the meanings set forth below in these Terms and Conditions:

“Quickergroup” refers to Quickergroup Ltd, as detailed in the preamble of these Terms and Conditions, including its successors and assigns.

“Foreign Language Version” is defined under clause 14.9 of these Terms and Conditions.

“Indemnitees” refers to the officers, employees, directors, agents, contractors, and assigns of Quickergroup.

“Quickergroup” means Quickergroup Ltd, including its successors and assigns.

“Quickergroup Account” denotes the online account of the User on the Quickergroup Platform.

“Quickergroup Payment Account” or “Quickergroup Wallet” is defined in the preamble of these Terms and Conditions.

“Quickergroup Payment Account Balance” is defined in clause 3.1 of these Terms and Conditions.

“Quickergroup Platform” refers to the website or mobile application (as applicable) from which you purchased goods or services offered by Quickergroup.

“Payment Instrument” is defined in clause 3.1.

“Personal Data” means information that can be used to identify, contact, or locate an individual. Personal Data includes your name, email address, billing address, shipping address, phone number, and credit card information.

“Privacy Policy” is defined in clause 2.6.

“Promo Coupon” refers to a promotional coupon issued by Quickergroup to a User, as permitted by local law. The coupon is credited into a rebate bucket within the User’s Quickergroup Payment Account and may be used to pay for or discount goods or services on the Quickergroup Platform before the Promo Coupon’s expiry date, as determined solely by Quickergroup and subject to conditions imposed by Quickergroup from time to time.

“Refund Coupon” means a coupon issued by Quickergroup for refunds not related to e-money transactions within the Quickergroup Payment Account. This coupon refunds a User’s previous purchase of goods or services on the Quickergroup Platform and is subject to conditions imposed by Quickergroup from time to time.

“Registration Information” is defined under clause 2.1 of these Terms and Conditions and may include Personal Data.

“Service” is defined in clause 4.1.

“Service Fees” is defined in clause 5.

“User” refers to an authorized user of the Quickergroup Payment Account.

1. ACCESS TO THE QUICKERGROUP PAYMENT ACCOUNT

1.1 You agree to:

1.1.1 Use your Quickergroup Payment Account and the Service solely for lawful purposes and in a lawful manner, and to conduct any related activities in good faith.

1.1.2 Adhere to all guidelines, notices, operating rules, policies, and instructions related to the Service, including any amendments issued by us periodically.

1.1.3 Verify that all information and materials provided regarding your Quickergroup Payment Account are accurate and truthful.

1.2 We are committed to preventing money laundering and any activities that facilitate money laundering or the financing of terrorism or criminal activities. We ensure compliance with anti-money laundering laws and require our directors, officers, and employees to uphold these standards in preventing the misuse of our products and services.

1.3 Access to the Quickergroup Payment Account and the Service is restricted to registered users of the Quickergroup Platform.

2. REGISTRATION

2.1 To register and verify your Quickergroup Payment Account, you must provide accurate and complete personal information, including your name, address, telephone number, date of birth, email address, identification details, and any other necessary information as required by us or applicable laws (“Registration Information”). You are responsible for updating your Registration Information to ensure its accuracy and completeness.

2.2 In addition to the Registration Information, we may request further information or documentation at any time, including for our Know-Your-Customer (“KYC”) process as required by applicable laws. This may include confirming your identity, age, or verifying your bank details or payment methods. You agree to provide such information and/or documentation promptly. Failure to do so may result in limitations on your use of the Quickergroup Payment Account or its suspension or closure without liability to us or our affiliates.

2.3 You authorize us to conduct any necessary inquiries to validate and verify your identity, either directly or through third parties, for any reason, including processing refunds.

2.4 Each User is allowed to maintain only one (1) Quickergroup Payment Account of each type linked to their Quickergroup Account.

2.5 You are responsible for securing your username and password for the Quickergroup Payment Account. It is advisable to change your password regularly. We are not liable for any unauthorized use or disclosure of your username or password. If you suspect that your credentials have been compromised, you must notify us immediately.

2.6 All Personal Data provided will be managed according to Quickergroup’s Privacy Policy at [Privacy Policy URL]. By accepting these Terms and Conditions, you acknowledge that you have read and agree with the Privacy Policy and consent to our collection, use, and disclosure of your Personal Data as outlined.

3. QUICKERGROUP PAYMENT ACCOUNT BALANCE

3.1 You may maintain funds in your Quickergroup Payment Account without earning interest, in accordance with applicable laws. Such funds, minus any amounts owed to us, constitute the balance of your Quickergroup Payment Account (“Quickergroup Payment Account Balance”). Funds can be added to your Quickergroup Payment Account Balance via top-up or deposit from accepted payment instruments, including debit cards, checking and savings accounts, or other approved prepaid methods (“Payment Instruments”). Funds in the Quickergroup Payment Account cannot be withdrawn in cash, except in cases of permanent closure of the account.

3.2 Promo Coupons or Refund Coupons issued by Quickergroup may be added to the rebate or refund bucket within your Quickergroup Payment Account. These coupons are not considered e-money and cannot be withdrawn as cash, except where Refund Coupons can be cashed out into your bank account, provided the user completes Quickergroup’s KYC process. Promo Coupons cannot be used for cash withdrawal and are not transferable.

3.3 We make no guarantees regarding the status or approval of your Payment Instruments for adding funds to your Quickergroup Payment Account Balance.

3.4 You are responsible for any fees imposed by third parties, including card issuers or banks, related to funding your Quickergroup Payment Account Balance. We reserve the right to reject any Payment Instruments at our discretion.

3.5 We may impose limits on your Quickergroup Payment Account usage, including: (i) the maximum amount you can load at one time; (ii) the total funds loaded over a specified period; (iii) the maximum amount for each purchase or total purchases over a period.

3.6 Subject to Clause 3.5, you may make payments from your Quickergroup Payment Account up to a maximum of 49,999 THB per month or other limits set by relevant authorities.

3.7 We may offer loyalty or rewards programs related to the Quickergroup Payment Account, governed by separate terms and conditions specific to such programs.

4. USING THE SERVICE

4.1 The Service

The Service provided by us on the Quickergroup Platform includes, but is not limited to: (1) Provision of the Quickergroup Wallet (Quickergroup Payment Account); and (2) Peer-to-peer transfer of electronic funds (“Payment Service”).

4.1.1 Quickergroup Wallet Service

  1. a) You may hold funds in your Quickergroup Payment Account and use it to purchase goods and/or services via the Quickergroup Platform. For security and legal compliance, we may limit transaction amounts or numbers and may request additional identification before purchases at our discretion.
  2. b) Each transaction will deduct from your Quickergroup Payment Account Balance the total transaction amount plus any applicable fees, including shipping, payment fees, and taxes. Any Promo Coupons will be applied first based on their expiration or conditions. Transactions cannot exceed your Quickergroup Payment Account Balance, and we do not extend credit.

4.1.2 Peer-to-Peer Transfer Peer-to-peer transfers (“P2P”) may be available at our discretion and are subject to the following terms:

  1. a) P2P transfers are available only to registered Users who have completed the Quickergroup Payment Account registration process.
  2. b) Additional information may be required to process P2P transactions, and transactions will only proceed once all required information is provided.
  3. c) You use P2P transfers at your own risk and are responsible for ensuring recipient details are accurate. We are not liable for inaccuracies in transactions. Disputes will be between the sender and recipient.
  4. d) Fees from third parties may apply as specified in Clause 3.4.
  5. e) P2P transfers must comply with applicable laws and these Terms and must not be used for illegal transactions.
  6. f) We may be unable to complete P2P transfers due to Force Majeure events, insufficient funds, transaction limits, incorrect details, or issues with your or the recipient’s Quickergroup Payment Account or Quickergroup Account.

4.2 You are responsible for all transactions and fees incurred through your Quickergroup Payment Account. If others access your Quickergroup Payment Account, such access will be deemed authorized by you, and you will be liable for any resulting transactions and fees, subject to the provisions outlined below.

4.3 You must notify us immediately if you detect any unauthorized use of your Quickergroup Payment Account or any security breaches. Reports of such activities must be made within sixty (60) days from the date of the transaction to be considered under the Quickergroup Payment Protection Policy. Failure to report within this period waives your right to further compensation or claims against us, our affiliates, or third parties.

4.4 Confirmation messages and transaction entries in your Quickergroup Payment Account are considered accurate unless you notify us in writing of any disputes within sixty (60) days from the transaction date. If no dispute is reported within this period, all transactions and entries will be deemed correct. Disputed transactions will be credited back only after a proper claim or dispute process and investigation, subject to our and/or Quickergroup’s discretion.

4.5 Despite any terms in the Quickergroup Payment Protection Policy, we will not process chargebacks, payment reversals, or compensate for unauthorized use claims under the following conditions, at our sole discretion:

4.5.1 Claims related to transactions conducted on your trusted device, IP address, or other acceptable boundaries.

4.5.2 If you acted fraudulently or negligently, such as disclosing your Quickergroup Payment Account or Quickergroup Account details to third parties or creating false unauthorized transactions.

4.5.3 If you fail to provide requested documentation related to unauthorized transactions.

4.5.4 If funds in your Quickergroup Payment Account are subject to legal processes or transfer restrictions.

4.5.5 If transactions occur due to circumstances beyond our control, such as natural disasters or civil unrest.

4.5.6 If a terminal or system (including our or Quickergroup’s website or services) malfunctioned before or during the transaction.

4.5.7 Any other exclusions stated in the Quickergroup Payment Protection Policy or as required by applicable laws.

4.6 Except as provided in clauses 6 and 7.4, cash redemption, fund transfers, or cash withdrawals are not permitted for amounts in your Quickergroup Payment Account.

4.7 We reserve the right to refuse any transaction, including purchase payments, P2P transfers, or withdrawals if:

4.7.1 The transaction does not comply with these Terms and Conditions or your Quickergroup Account terms.

4.7.2 We believe the transaction may violate laws, regulations, or could expose us or our affiliates to liability.

4.7.3 The transaction involves Promo Coupons or Refund Coupons and there is suspicion of abuse, fraud, or illegal activities.

4.8 Payments or transactions using your Quickergroup Payment Account for purchases on the Quickergroup Platform may be processed through accounts owned by us, our affiliates, or registered third-party service providers acting on our behalf.

4.9 Funds from your Quickergroup Payment Account will be settled when:

4.9.1 We receive confirmation of a successful purchase from Quickergroup.

4.9.2 You fail to confirm receipt of goods or services within the prescribed time limit, and it will be assumed you have received them.

4.9.3 Any settlement or dispute resolution between you and Quickergroup or its users occurs, and funds will be managed according to the resolution.

4.9.4 We receive a court, arbitration tribunal, or authority order directing us to release funds, and funds will be managed accordingly.

4.10 When releasing funds for a transaction, we may deduct or withhold any applicable financial charges or service fees due to us or Quickergroup.

4.11 For issues with your Quickergroup Payment Account, contact our Help Center at [Help Center URL] or Customer Service at [Customer Service Phone Number] (Operating Hours: 09.00 – 18.00 (Mon – Fri)). For order-related issues on the Quickergroup Platform, contact customer service at [Order Help URL].

4.12 Complete purchases according to the applicable terms and conditions of the Quickergroup Platform at [Quickergroup Terms URL], which may be amended at Quickergroup’s discretion without notice.

4.13 You agree to provide all necessary notices, information, materials, and cooperation required for us to operate your Quickergroup Payment Account. Any delays due to your failure to do so will not hold us, Quickergroup, or our affiliates liable for any resulting loss or damage.

4.14 We are not a bank, payment agent, or remittance agent. Services related to your Quickergroup Payment Account should not be interpreted as banking or remittance services. We do not act as a trustee, fiduciary, or escrow for your Quickergroup Payment Account Balance.

4.15 We may report any suspicious activity related to your Quickergroup Payment Account to the relevant authorities.

5. FEES
We reserve the right to impose fees to cover the costs of providing the Quickergroup Payment Account services to you, including those associated with the set-up and maintenance of your Quickergroup Payment Account (“Service Fee”).

6. REFUNDS
If, having purchased goods or services on the Quickergroup Platform using your Quickergroup Payment Account or otherwise, you are entitled to a refund for any reason as per Quickergroup’s terms and conditions or policy, you agree that:

6.1 We will either (i) credit the amount from the transaction made with deposit in your Payment Account to the deposit bucket in your respective Quickergroup Payment Account, (ii) issue a Refund Coupon to be credited to the refund bucket within your respective Quickergroup Payment Account, or (iii) where the purchase was made using a credit card, credit the refund to the same credit card where applicable.

6.2 We may require you to provide additional information before processing any refund.

7. CLOSURE AND NON-USE OF YOUR QUICKERGROUP PAYMENT ACCOUNT

7.1 You may request to close your Quickergroup Payment Account at any time by contacting our customer support team. Contact details of the customer support team are available at our Help Center at [Help Center URL] or Customer Service at [Customer Service Phone Number] (Operating Hours: 09.00 – 18.00 (Mon – Fri)). You may be required to provide additional documents or details for such closure.

7.2 We may, at any time and at our sole discretion:

7.2.1 Discontinue your use of the Quickergroup Payment Account or any part thereof;

7.2.2 Close your Quickergroup Payment Account; and/or

7.2.3 Reactivate your Quickergroup Payment Account upon completion of any relevant internal investigations (where applicable).

7.3 We will endeavor to provide notice of any such discontinuation or closure of your Quickergroup Payment Account. You agree that we shall not be liable to you for any inability to access your Quickergroup Payment Account or any part thereof.

7.4 Closure of your Quickergroup Payment Account will not cancel any cleared or completed transactions that you have already undertaken.

7.5 If your Quickergroup Payment Account is closed for any reason, we will contact you to arrange for the refund of any residual electronic funds in that Quickergroup Payment Account as set out in clause 7.6. In no event shall you be entitled to any refund concerning any Promo Coupons.

7.6 You remain liable for all obligations related to your Quickergroup Payment Account. Closure of your Quickergroup Payment Account does not relieve you of any liability pertaining to your Quickergroup Payment Account. In the event of a pending investigation at the time of closure, we may hold your funds for up to one hundred and eighty (180) days or any other period as required by competent authorities and/or applicable laws (including but not limited to anti-money laundering and counter-terrorism financing laws) from the date of closure to protect us against any loss or liability. If we suspect you have used your Quickergroup Payment Account for illegal purposes, we may hold any outstanding Quickergroup Payment Account Balance for such time as we determine or as required by law.

7.7 We will refund any electronic funds in your Quickergroup Payment Account as soon as practicable after its closure through a payment method we deem suitable, provided you provide us with:

7.7.1 Valid bank account details where the name and address match the name and address on your Quickergroup Payment Account; and

7.7.2 A copy of a valid form of ID card for Thai citizens or a passport for foreigners, which we may accept at our sole discretion.

7.8 We have the right not to return any disputed funds or funds related to a breach of these Terms and Conditions or other Quickergroup terms and conditions until such a dispute is resolved or a court of competent jurisdiction decides on the matter.

7.9 If you have not transacted on your Quickergroup Payment Account for [12] months or more, your Quickergroup Payment Account will be deemed inactive. We reserve the right to impose an administrative charge against the remaining amount in your Quickergroup Payment Account Balance until a transaction is made. Your Quickergroup Payment Account will be terminated once there are insufficient funds to cover the administrative charges.

7.10 We reserve the right to conduct necessary money laundering, terrorism financing, fraud, or any other illegal activity checks before authorizing any withdrawal of your funds, including returning funds after your Quickergroup Payment Account has closed or before processing refunds.

8. AMENDMENTS
We may amend these Terms and Conditions at any time by posting an updated version at [Quickergroup Terms URL] and/or the Quickergroup Platform. The updated version of these Terms and Conditions shall take effect immediately upon posting, subject to applicable laws. Each time you use your Quickergroup Payment Account, you confirm that you agree to be bound by these Terms and Conditions as may be amended from time to time. It is your responsibility to check for any updates or changes to these Terms and Conditions.

9. AVAILABILITY OF QUICKERGROUP PAYMENT ACCOUNT
To the extent permitted by law, we may, from time to time and without giving any reason or prior notice to you, upgrade, modify, suspend, or discontinue the provision of your Quickergroup Payment Account and the Service. We shall not be liable if any such upgrade, modification, or suspension prevents you from accessing your Quickergroup Payment Account or any part of it.

10. REPRESENTATIONS, WARRANTIES, AND INDEMNITY
By accepting these Terms and Conditions, you represent and warrant that:

10.1 You are at least 20 years of age and not violating any applicable laws or regulations through your use of your Quickergroup Payment Account, and you have not provided false, inaccurate, or misleading information in respect of your use of your Quickergroup Payment Account or claims made under the Quickergroup Payment Protection Policy.

10.2 You agree to defend, indemnify, and hold us, our Indemnitees, affiliates, and authorized representatives harmless from any claim, demand (including legal fees and costs), fines, penalties, or other liability incurred by us due to or arising out of your breach of this representation and warranty.

11. RESTRICTED ACTIVITIES
11.1 In connection with your use of your Quickergroup Payment Account, you shall not:

11.1.1 Provide false, inaccurate, or misleading information concerning the Quickergroup Payment Account, the Service, or claims made under the Quickergroup Payment Protection Policy;

11.1.2 Use your Quickergroup Payment Account for any illegal activities;

11.1.3 Use your Quickergroup Payment Account in a manner that may result in complaints, disputes, claims, penalties, or other liabilities to us, our affiliates, other users, or third parties, or may be considered an abuse of the relevant card system or a violation of the relevant card association or network rules;

11.1.4 Breach these Terms and Conditions, Quickergroup’s terms and conditions, and/or the Privacy Policy, or violate any applicable laws and regulations.

11.2 If we, in our sole discretion, believe that you may have engaged in the above restricted activities, we may take various actions, including, but not limited to:

11.2.1 Suspend or restrict your access to and/or close your Quickergroup Payment Account;

11.2.2 Terminate your Quickergroup Payment Account and refuse to provide any services to you;

11.2.3 Place a hold on your Quickergroup Payment Account Balance for up to 180 days or any other period as required by competent authorities and/or applicable laws (including anti-money laundering and counter-terrorism financing laws) if reasonably needed to protect against the risk of damages and/or liability;

11.2.4 Take any legal action against you.

11.3 If you are below 20 years old, you must obtain and warrant that you have obtained consent from your parent(s) or legal guardian(s). By consenting to your acceptance of these Terms and Conditions, your parent(s) or legal guardian(s) agree to take responsibility for:

11.3.1 Your actions in your use of the Quickergroup Payment Account;

11.3.2 Any charges associated with your use of the Quickergroup Payment Account; and

11.3.3 Your compliance with these Terms and Conditions.
If you do not have consent from your parent(s) or legal guardian(s), you must cease using the Quickergroup Payment Account.

12. DISCLAIMER

12.1 You agree that all risks arising from your use of the Quickergroup Payment Account and the Service will be borne by you.

12.2 We make no warranty that:

12.2.1 The Service will meet your requirements;

12.2.2 The Service will be uninterrupted, timely, or error-free;

12.2.3 Any products, information, service, or material purchased by you using the Service will meet your requirements; or

12.2.4 Any refund or request under these Terms and Conditions or the Payment Protection Policy will meet your requirements.

12.3 Except as expressly provided in these Terms and Conditions and to the fullest extent permitted by law, the Quickergroup Payment Account and related services are provided “as is,” “as available,” and “with all faults.” All warranties, representations, conditions, undertakings, and terms, whether express or implied, are excluded.

12.4 To the fullest extent permitted by law, we and our affiliates shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including damages for loss of profits or revenues, business interruption, loss of business opportunities, loss of data, or loss of other economic interests, whether in contract, negligence, tort, or otherwise, arising from your use of or inability to use the Quickergroup Payment Account and related services. In any event, our total aggregate liability to you under these Terms and Conditions or in relation to your use of the Quickergroup Payment Account and related services will not exceed your Quickergroup Payment Account Balance at the point in time when such liability arose.

12.5 Some jurisdictions do not allow the exclusion of implied warranties or the limitation or exclusion of liability for incidental or consequential damages, so the foregoing exclusions or limitations may not apply to you. You may also have other rights that vary by jurisdiction.

12.6 In the event that it is demonstrated that you are below the age of 20 when you agreed to these Terms and Conditions, we shall not be liable for any loss suffered by you arising out of the use of the Quickergroup Payment Account.

13. NOTICES

13.1 Notices from us

13.1.1 You agree that all notices or other communications from us are deemed to have been given to you if:

(i) communicated through any print or electronic media as we may select from time to time, will be deemed to be notified to you on the date of publication or broadcast; or

(ii) sent by post or left at your last known address, received by you on the day following such posting or on the day when it was so left.

13.2 Notices from you

You may only give notice to us in writing sent to our designated address or e-mail address (as may be amended from time to time), and we shall be deemed to have received such notice only upon receipt. While we endeavor to respond promptly to notices from you, we cannot guarantee that we will always respond with consistent speed.

13.3 Other modes of notifications

13.3.1 Notwithstanding Clauses 13.1 and 13.2, we may from time to time designate other acceptable modes of giving notice (including but not limited to e-mail or other forms of electronic communication) and the time or event by which such notice shall be deemed given.

14. GENERAL TERMS

14.1 Cumulative rights and remedies

Unless otherwise provided under these Terms and Conditions, the provisions of these Terms and Conditions and our rights and remedies under these Terms and Conditions are cumulative and are without prejudice and in addition to any rights or remedies we may have in law or in equity, and no exercise by us of any one right or remedy under these Terms and Conditions, or at law or in equity, shall (save to the extent, if any, provided expressly in these Terms and Conditions or at law or in equity) operate so as to hinder or prevent our exercise of any other such right or remedy at law or in equity.

14.2 No waiver

Our failure to enforce these Terms and Conditions shall not constitute a waiver of these terms, and such failure shall not affect our right to later enforce these Terms and Conditions.

14.3 Severability

If at any time any provision of these Terms and Conditions becomes illegal, invalid or unenforceable in any respect, the legality, validity and enforceability of the remaining provisions of these Terms and Conditions shall not be affected or impaired thereby, and shall continue in force as if such illegal, invalid or unenforceable provision was severed from these Terms and Conditions.

14.4 Rights of third parties

A person or entity who is not a party to these Terms and Conditions shall have no right to enforce any term of these Terms and Conditions, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, nothing in this clause shall affect the rights of any permitted assignee or transferee of these Terms and Conditions.

14.5 Governing law

Use of the Quickergroup Payment Account, and these Terms and Conditions shall be governed by and construed in accordance with Thai law and you hereby submit to the exclusive jurisdiction of the Thai courts.

14.6 Disputes

14.6.1 If any dispute or claim arises from or in connection with these Terms and Conditions or your use of your Quickergroup Payment Account (“Dispute”), the relevant parties shall first attempt to resolve the Dispute through amicable negotiations. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.

14.6.2 In any event and to the fullest extent permitted by applicable law, you may not make any claim against the Indemnitees under these Terms and Conditions after one year from the date of occurrence of the matter giving rise to the claim.

14.7 Injunctive relief

We may seek immediate injunctive relief if we make a good faith determination that a breach or non-performance is such that a temporary restraining order or other immediate injunctive relief is an appropriate or adequate remedy.

14.8 Correction of errors

Any typographical, clerical or other error or omission in any acceptance, invoice or other document on our part shall be subject to correction without any liability on our part.

14.9 Language

In the event that these Terms and Conditions are executed or translated into any language other than English (“Foreign Language Version”), to the extent allowed under law, the English language version of these Terms and Conditions shall govern and shall take precedence over the Foreign Language Version.

14.10 Entire agreement

These Terms and Conditions shall constitute the entire agreement between you and us relating to the subject matter hereof and supersedes and replaces in full all prior understandings, communications and agreements with respect to the subject matter hereof.

14.11 Binding and conclusive

You acknowledge and agree that any records (including records of any telephone conversations relating to the Quickergroup Payment Account, if any) maintained by us and/or our service providers relating to or in connection with the Quickergroup Payment Account shall be binding and conclusive on you for all purposes whatsoever and shall be conclusive evidence of any information and/or data transmitted between us and you. You hereby agree that all such records are admissible in evidence and that you shall not challenge or dispute the admissibility, reliability, accuracy or the authenticity of such records merely on the basis that such records are in electronic form or are the output of a computer system, and you hereby waive any of your rights, if any, to so object.

14.12 Sub-contracting and delegation

We reserve the right to delegate or sub-contract the performance of any of our functions or obligations in connection with Quickergroup Payment Account to any service provider, subcontractor, affiliates and/or agent on such terms as we may deem appropriate.

14.13 Assignment

You may not assign your rights or transfer your obligations under these Terms and Conditions without our prior written consent. We may assign our rights or transfer our obligations under these Terms and Conditions to any third party at our sole discretion.

14.14 Force Majeure

We shall not be liable for non-performance, error, interruption or delay in the performance of our obligations under these Terms and Conditions (or any part thereof) or for any inaccuracy, unreliability or unsuitability of Quickergroup Payment Account if this is due, in whole or in part, directly or indirectly to an event or failure which is beyond our reasonable control.
